1. Acceptance of Terms

Welcome to CloudComets. By accessing our website (https://cloudcomets.com) or procuring any of our digital agency services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must refrain from using our services.

2. Description of Services

CloudComets is a full-service digital agency. We provide a range of creative and technical solutions, including but not limited to:

• Custom Website Design & Development (Landing pages, e-commerce, business sites, portfolio sites, and CMS integrations)
• Custom Software & Product Development
• Search Engine Optimization (On-page SEO, Technical SEO, Speed Optimization, and Retainers)
• Brand Identity & UI/UX Design
• Domain and Web Hosting Set-up & Configuration
• Website Maintenance, Security, and Backup Retainer Services

Specific project scopes, timelines, deliverables, and service levels (SLAs) will be outlined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3. Client Responsibilities

For us to deliver services effectively, you agree to:

• Provide all necessary content, copy, images, branding assets, and feedback in a timely manner.
• Furnish required login credentials (e.g., hosting control panels, domain registrars, DNS managers) as necessary to implement development, launch, or SEO optimization.
• Ensure that all materials provided to us do not violate third-party copyright or intellectual property rights.

4. Fees, Payments, & Subscriptions

Payment structures are defined as follows:

• Project Fees: Fixed-price projects require an upfront deposit (typically 50%) before work commences, with milestones or final payment due upon project completion or before deployment.
• Retainers & Subscriptions: Ongoing support, SEO retainers, security monitoring, or website maintenance packages are billed monthly in advance. Payments are non-refundable.
• Late Payments: We reserve the right to suspend development, take websites offline, or pause active campaigns in the event of unpaid or overdue invoices.

5. Intellectual Property

Upon receipt of final invoice payment in full:

• All design files, custom codebase, assets, and layouts developed specifically for your project transfer to your full ownership.
• CloudComets retains copyright over open-source library integrations, pre-existing proprietary modules, and general design methodologies.
• We reserve the right to showcase screenshots and case studies of completed work in our online portfolio for promotional purposes.

6. Website Maintenance & Security Disclaimer

While CloudComets implements best practices to secure websites, configure firewalls, and perform database backups under our active maintenance agreements:

We cannot guarantee absolute immunity from security breaches, malware, or unauthorized access caused by vulnerable third-party plugins, weak user passwords, hosting provider failures, or brute force attacks. We will assist in resolving breaches under our active retainer fees, but hold no liability for data loss or business disruption resulting from security incidents.

7. Limitation of Liability

In no event shall CloudComets, its directors, employees, or partners, be liable for any direct, indirect, incidental, special, or consequential damages (including, but not limited to, loss of profits, loss of data, business interruption, or SEO rank fluctuations) arising out of the use or inability to use our deliverables, software, or optimization systems.

8. Termination

Either party may terminate a project or monthly retainer by providing 30 days written notice. Upon termination, client agrees to pay CloudComets for all work completed up to the date of termination. CloudComets will deliver work assets completed up to that billing cycle upon payment settlement.

9. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws applicable to CloudComets operations, without regard to conflicts of law principles. Any dispute arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts.
